1. Agreement to Terms

By using our Services (as defined in our Privacy Policy, typically referring to our website contranex.in and related services, including the CONTRANEX.IN software), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

2. Changes to Terms or Services

We may update the Terms at any time, in our sole discretion. If we do so, we’ll let you know by posting the updated Terms on the Site and/or may also send other communications. It’s important that you review the Terms whenever we update them or you use the Services. If you continue to use the Services after we have posted updated Terms it means that you accept and agree to the changes. We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice.

3. Who May Use the Services

You may use the Services only if you are 18 years or older and capable of forming a binding contract with CONTRANEX.IN and are not barred from using the Services under applicable law.

To use certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You are responsible for all activities that occur under your account, whether or not you know about them.

4. Subscription and Payment

Access to certain features of CONTRANEX.IN is subscription-based. Details of subscription plans, pricing, and payment terms will be provided on our Website or at the point of sale.

Subscription Fees: You agree to pay all applicable fees for your chosen subscription plan as described on our Website or at the point of purchase. Fees are billed in advance on a recurring basis (e.g., monthly or annually) unless otherwise specified.

Payment Methods: We accept payments through various online payment methods as indicated on our Website or at the point of purchase. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services.

Taxes: All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, unless otherwise stated.

Late Payments and Account Suspension: Timely payment of subscription fees is required to maintain access to the Services. If subscription fees are not paid on time, CONTRANEX.IN reserves the right to temporarily suspend access to all associated accounts (including Contractor, Supervisor, and Worker accounts) within the enterprise until full payment is received. We will provide notice before any such suspension.

No Refunds: All payments made for subscriptions to CONTRANEX.IN are non-refundable. Once a payment is processed, it will not be refunded under any circumstances, including but not limited to account cancellation, termination of services, or dissatisfaction with the Services.

Renewals: Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your account settings or by contacting us before the renewal date.

Cancellations: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period, and you will retain access to the Services until then. No refunds will be provided for partial subscription periods.

Price Changes: Prices for our Services are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the CONTRANEX.IN site or the Services themselves.

5. Content and Content Rights

For purposes of these Terms: (i) “Content” means text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided or otherwise made available through the Services; and (ii) “User Content” means any Content that Account holders (including you and users within your enterprise account such as Supervisors and Workers) provide to be made available through the Services. This includes, but is not limited to, project details, client information, financial data, worker information, and any other data inputted into the CONTRANEX.IN system.

Ownership of User Content: You retain ownership of all User Content you submit, post, or display on or through the Services. CONTRANEX.IN does not claim any ownership rights in any User Content.

Your Responsibilities for User Content: You are solely responsible for your User Content. You represent and warrant that you own your User Content or you have all rights that are necessary to grant us the license rights in your User Content under these Terms. You also represent and warrant that neither your User Content, nor your use and provision of your User Content to be made available through the Services, nor any use of your User Content by CONTRANEX.IN on or through the Services will infringe, misappropriate or violate a third party’s intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

Rights in User Content Granted by You: By making any User Content available through the Services you hereby grant to CONTRANEX.IN a worldwide, non-exclusive, royalty-free, sublicensable license to use, copy, modify, process, adapt, distribute, and display such User Content solely for the purposes of operating, providing, maintaining, and improving the Services for you and your authorized users.

CONTRANEX.IN's Intellectual Property: We and our licensors exclusively own all right, title, and interest in and to the Services and Content (excluding User Content), including all associated intellectual property rights. You acknowledge that the Services and Content are protected by copyright, trademark, and other laws of India and foreign countries. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services or Content.

6. General Prohibitions and CONTRANEX.IN’s Enforcement Rights

You agree not to do any of the following:

  • Post, upload, publish, submit or transmit any User Content that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vii) promotes illegal or harmful activities or substances.
  • Use, display, mirror or frame the Services or any individual element within the Services, CONTRANEX.IN’s name, any CONTRANEX.IN trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without CONTRANEX.IN’s express written consent;
  • Access, tamper with, or use non-public areas of the Services, CONTRANEX.IN’s computer systems, or the technical delivery systems of CONTRANEX.IN’s providers;
  • Attempt to probe, scan or test the vulnerability of any CONTRANEX.IN system or network or breach any security or authentication measures;
  • Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by CONTRANEX.IN or any of CONTRANEX.IN’s providers or any other third party (including another user) to protect the Services;
  • Attempt to access or search the Services or download content from the Services through the use of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by CONTRANEX.IN or other generally available third-party web browsers;
  • Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
  • Use any meta tags or other hidden text or metadata utilizing a CONTRANEX.IN trademark, logo URL or product name without CONTRANEX.IN’s express written consent;
  • Use the Services, or any portion thereof, for any commercial purpose or for the benefit of any third party or in any manner not permitted by these Terms, unless expressly authorized by CONTRANEX.IN;
  • Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Services to send altered, deceptive or false source-identifying information;
  • Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Services;
  • Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Services;
  • Collect or store any personally identifiable information from the Services from other users of the Services without their express permission;
  • Impersonate or misrepresent your affiliation with any person or entity;
  • Violate any applicable law or regulation, including but not limited to labor laws, data privacy laws, and financial regulations relevant to your use of the Services; or
  • Encourage or enable any other individual to do any of the foregoing.

CONTRANEX.IN is not obligated to monitor access to or use of the Services or to review or edit any Content. However, we have the right to do so for the purpose of operating the Services, to ensure compliance with these Terms, and to comply with applicable law or other legal requirements. We reserve the right, but are not obligated, to remove or disable access to any Content, including User Content, at any time and without notice, including, but not limited to, if we, at our sole discretion, consider it objectionable or in violation of these Terms. We have the right to investigate violations of these Terms or conduct that affects the Services. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law.

7. Termination

We may suspend or terminate your access to and use of the Services, including your account, at our sole discretion, at any time and without notice or liability to you, for any reason, including but not limited to your breach of these Terms. You may cancel your Account at any time by sending an email to us at hemavenkat8642@gmail.com or through the account management features if available.

Upon any termination, discontinuation or cancellation of Services or your Account, the following provisions will survive: Section 4 (to the extent of any outstanding payments), Section 5 (Content and Content Rights, specifically CONTRANEX.IN's Intellectual Property and your responsibilities for User Content), Section 6 (General Prohibitions), Section 7 (Termination, specifically this paragraph), Section 8 (Disclaimers), Section 9 (Limitation of Liability), Section 10 (Governing Law and Forum Choice), and any other provisions that by their nature should survive termination.

Upon termination, your right to use the Services will immediately cease. We may, in our sole discretion and subject to our Privacy Policy and applicable law, delete your User Content upon termination or retain it for a period we deem appropriate for backup, archival, or audit purposes. It is your responsibility to export any User Content you wish to retain before terminating your account.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

CONTRANEX.IN makes no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness or reliability of any Content obtained through the Services. The information provided by the Services is for general informational purposes only and should not be solely relied upon for business decisions. You are responsible for verifying the accuracy of any information before relying on it. Any reliance you place on such information is strictly at your own risk.

The Services may contain links to third-party websites or resources. We provide these links only as a convenience and are not responsible for the content, products or services on or available from those websites or resources or links displayed on such websites.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER CONTRANEX.IN NOR ITS SERVICE PROVIDERS INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT CONTRANEX.IN HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY THE LAW OF THE APPLICABLE JURISDICTION, IN NO EVENT WILL CONTRANEX.IN’S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES EXCEED THE AMOUNTS YOU HAVE PAID TO CONTRANEX.IN FOR USE OF THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED INDIAN RUPEES (INR 100), IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO CONTRANEX.IN, AS APPLICABLE.

10. Governing Law and Forum Choice

These Terms and any action related thereto will be governed by the laws of India, without regard to its conflict of laws provisions. The exclusive jurisdiction for all disputes arising out of or in connection with these Terms or the Services will be the courts located in Ongole, Andhra Pradesh, India, and you and CONTRANEX.IN each waive any objection to jurisdiction and venue in such courts.
